What is required?

  • Master’s degree in Dutch Law
  • At least four years PQE experience in either law-firm, notary firm, trust company or corporate
  • In-depth knowledge of Dutch corporate law and corporate governance and the ability to advise on matters related to corporate governance and corporate housekeeping
  • Experience with reviewing and negotiating corporate and commercial contracts as well as standard banking documentation is a plus
  • Experienced in organizing/managing supervisory board meetings and corporate housekeeping
  • Strong analytical skills, active, pragmatic and independent worker combined with a (internal) client focus
  • Excellent command of the English and Dutch language, both verbally and in writing; Japanese, German and/or Spanish are a plus
  • Likes to work in a team, has good adaptability and is punctual

Vacancy

As Deputy Company Secretary at Mizuho, you become an integral part of the governance for Mizuho Bank Europe N.V. (MBE), operating from the European Headquarters in Amsterdam, within the larger Mizuho Group.

You provide advice on corporate legal matters, maintain the corporate housekeeping of MBE and its branches, and spearhead the organization of meetings for the Supervisory Board and its committees. You ensure the proper functioning of the corporate governance framework and manage MBE's regulatory affairs. Offering strategic corporate legal advice to the Supervisory Board, Management Board, and the larger organization falls under your responsibilities. Drafting corporate documents and delivering effective legal advice concerning corporate governance, housekeeping, and regulatory affairs become your daily tasks.

Moreover, you take on tasks including drafting and reviewing contracts, NDA’s, supplier, and other third party contracts, including SLAs. You offer support for inquiries made by or to group companies, third parties, or regulators. Representing the Legal, Corporate and Regulatory Affairs department in large-scale, often international and multi-disciplinary, bank projects on various topics and consultation meetings falls under your remit. You also assist in reviewing and negotiating standard banking documentation, such as loan agreements, credit facilities, security documentation, ISDA documentation, and other transaction paperwork.

You will be part of the Legal, Corporate and Regulatory Affairs department which currently consists of two legal counsels and the Head of the Legal, Corporate and Regulatory Affairs Department, also acting as Company Secretary, to whom you report directly.
